1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between Sphere Smart Tech Ltd. (“the Company”, “we”, “us”, or “our”) and any individual or entity (“Investor”, “you”, or “your”) who provides funds to the Company for the purpose of participating in investment activities conducted by the Company.
By submitting funds to the Company, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
2. Nature of the Business
The Company engages in trading activities within the global gold commodities market, including but not limited to spot trading, derivatives, and other financial instruments linked to the price of gold.
Funds contributed by Investors are pooled and utilised by the Company for the purpose of executing trading strategies designed to generate returns.
The Company does not guarantee profits or returns.
3. Eligibility and Qualified Investors
Investment opportunities offered by the Company are available only to qualified or sophisticated investors, as defined under applicable financial regulations in the jurisdiction in which the Investor resides.
By investing with the Company, you confirm that:
- You are legally permitted to invest in such opportunities.
- You understand the risks associated with commodities trading.
- You have sufficient financial knowledge and experience to evaluate the merits and risks of the investment.
- You are investing funds that you can afford to lose.
The Company reserves the right to refuse or return funds if an Investor does not meet the necessary eligibility requirements.
4. Investment Currency and Minimum Investment
All investments must be made in USDT (Tether) or any other stablecoin approved by the Company.
The minimum investment amount is $100 (or the equivalent value in USDT or USDC at the time of transfer).
The Company reserves the right to amend the minimum investment threshold at its discretion. Any such changes will be communicated to Investors prior to taking effect.
5. Use of Investor Funds
Funds provided by Investors will be used exclusively for the purpose of executing trading strategies related to the gold commodities market.
The Company retains full discretion regarding:
- Trading strategies
- Allocation of funds
- Timing of market entry and exit
- Risk management practices
Investors do not have direct control over individual trades executed by the Company.
6. Returns and Performance
Any returns generated by trading activities will be distributed according to the investment agreement or structure communicated to Investors.
Past performance is not indicative of future results.
The Company does not guarantee any minimum return.
7. Risk Disclosure
Investing in commodities, including gold trading, involves significant financial risk.
By investing with the Company, you acknowledge and accept that:
- Commodity markets are volatile and prices can fluctuate significantly.
- Trading may involve leverage which can amplify both gains and losses.
- You may lose part or all of your invested capital.
- Market events, geopolitical developments, liquidity issues, and economic conditions may negatively impact performance.
- There is no guarantee that the Company’s trading strategies will be successful.
You should not invest funds that you cannot afford to lose.
If you are uncertain about the suitability of this investment, you should seek advice from an independent financial advisor.
8. Withdrawals
Investors may request withdrawals at any time by providing at least one (1) day’s notice to the Company.
There are no restrictions on withdrawals, subject only to the notice requirement stated above.
Withdrawal requests will be processed in USDT, depending on the Investor’s preference or the Company’s operational requirements.
To maintain an active investment account with the Company, Investors must retain a minimum balance of $100 (or equivalent in USDT) after any withdrawal.
If a withdrawal reduces the account balance below this minimum amount, the Company may treat the account as closed and terminate the investment relationship.
9. Compliance and Anti-Money Laundering
The Company complies with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations.
Investors may be required to provide identification documents, proof of address, and other verification materials before funds can be accepted or withdrawn.
The Company reserves the right to suspend accounts or refuse transactions where regulatory concerns arise.
10. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any losses incurred by Investors as a result of:
- Market fluctuations
- Trading decisions
- Delays in execution
- Third-party service provider failures
- Force majeure events
Investors participate in the investment activity at their own risk.
11. Amendments
The Company reserves the right to modify these Terms at any time. Updated versions will be made available to Investors and will take effect upon publication.
Continued participation in the investment program constitutes acceptance of any revised Terms.
12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Union of Comoros.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
